Global Teki - Professional Digital Excellence Services
1. Introduction
These Terms of Service (“Terms”) govern your use of services provided by Global Teki (“Global Teki”, “we”, “us”, or “our”), a company incorporated under Vietnamese law with our global headquarters located at Lot 59-TT4, Group 4, Tu Liem Ward, Hanoi City 100000, Vietnam.
By engaging our services, accessing our website, or entering into any agreement with Global Teki, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
2. Services Provided
Global Teki provides digital transformation services including but not limited to:
- Cloud infrastructure design, migration, and management
- DevOps implementation and automation
- Continuous Integration/Continuous Deployment (CI/CD) solutions
- Container orchestration and Kubernetes management
- Infrastructure as Code (IaC) development
- Cloud security assessment and implementation
- Digital transformation consulting
- Technical training and support services
Specific services, deliverables, timelines, and pricing are detailed in individual service agreements or statements of work executed between Global Teki and the client.
3. Client Responsibilities
To ensure successful service delivery, clients agree to:
- Provide accurate and complete information necessary for service delivery
- Grant appropriate access to systems, platforms, and resources as required
- Designate qualified personnel to collaborate with our team
- Respond promptly to requests for information or approval
- Comply with all applicable laws and regulations
- Maintain confidentiality of any proprietary information shared by Global Teki
- Use our services in accordance with applicable laws and ethical standards
4. Payment Terms
Payment Schedule: Payment terms are specified in individual service agreements. Standard terms include upfront payments for project initiation and milestone-based payments.
Currency: All fees are quoted and payable in USD unless otherwise specified in the service agreement.
Late Payments: Overdue payments may incur late fees of 1.5% per month or the maximum allowed by law, whichever is less.
Taxes: Client is responsible for all applicable taxes, duties, and government fees related to the services.
Refunds: Refund policies are specified in individual service agreements. Generally, work completed and delivered is non-refundable.
5. Intellectual Property
Client Data: Clients retain ownership of their data, content, and pre-existing intellectual property.
Deliverables: Upon full payment, clients receive ownership or license rights to custom deliverables as specified in the service agreement.
Global Teki IP: Global Teki retains ownership of its proprietary methodologies, tools, templates, and general knowledge developed independently.
Third-Party IP: Some solutions may incorporate third-party software or services subject to separate licensing terms.
6. Confidentiality
Global Teki maintains strict confidentiality regarding client information and business operations. We implement industry-standard security measures to protect sensitive data and will not disclose confidential information to third parties without explicit consent, except as required by law.
Confidentiality obligations survive termination of the service relationship and remain in effect for a period of five (5) years or as specified in individual agreements.
7. Limitation of Liability
Service Quality: Global Teki provides services using industry best practices and qualified professionals. We strive for high-quality deliverables but cannot guarantee specific business outcomes.
Liability Cap: Our total liability for any claims arising from our services shall not exceed the total fees paid by the client for the specific service giving rise to the claim.
Exclusions: Global Teki shall not be liable for indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
Force Majeure: Global Teki is not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, or third-party service outages.
8. Termination
By Client: Clients may terminate services with written notice as specified in the service agreement. Fees for work completed remain payable.
By Global Teki: We may terminate services for material breach of terms, non-payment, or if continuation would violate applicable laws.
Effect of Termination: Upon termination, Global Teki will deliver completed work products and return or destroy client confidential information as requested.
9. Dispute Resolution
Negotiation: Parties agree to first attempt resolution through good faith negotiation for a period of thirty (30) days.
Mediation: If negotiation fails, disputes shall be submitted to mediation under the rules of a recognized mediation service.
Arbitration: Unresolved disputes shall be settled by binding arbitration under international arbitration rules, with proceedings conducted in English.
Governing Law: These Terms are governed by Vietnamese law, with international commercial law principles applied for cross-border transactions.
10. Changes to Terms
Global Teki reserves the right to modify these Terms at any time. Significant changes will be communicated to active clients with reasonable notice. Continued use of our services after changes constitutes acceptance of the modified Terms.
For ongoing projects, changes to Terms will apply to new work or contract renewals, unless otherwise agreed in writing.
